Founding Member Agreement

1. Purpose

This Founding Member Agreement ("Founder Terms") is an addendum to the TransitionCare Terms of Use & De-Identification Acknowledgment ("Terms"). Founder Terms apply only to Adult Family Home and Assisted Living Facility operators ("Founding Facilities") who are admitted to the TransitionCare Founding Member Program. Where Founder Terms conflict with the general Terms, Founder Terms govern for the duration of the Program period.

2. Eligibility

• The first ten (10) Adult Family Home or Assisted Living Facility operators in Washington State that complete account registration, sign these Founder Terms and the Terms, and pass DSHS license verification.
• Must hold an active Washington State DSHS Adult Family Home (or equivalent) license at the time of enrollment.
• TransitionCare reserves discretion to admit or decline applicants and to define what constitutes a "Founding Facility" slot.

3. Founding Member Benefits

• Free access to the Pro plan for twelve (12) months from the date your account is activated by TransitionCare. Standard Pro features apply (email/SMS new-patient alerts, first-mover access, queue position visibility).
• No payment required at signup. Stripe checkout is bypassed; no credit card on file is required during the Founding Period.
• Direct line to product feedback. Founding Facilities receive a dedicated feedback channel and may participate in user-research sessions, with rights described in Section 6.
• "Founding Member" badge displayed in your facility profile.

4. Founding Period

The Founding Period is twelve (12) calendar months beginning on the date TransitionCare verifies your DSHS license and activates your account ("Activation Date"). The end of the Founding Period is the "Founding End Date." TransitionCare will display your Activation Date and Founding End Date in your dashboard.

5. Conversion at the End of the Founding Period

At least thirty (30) days before the Founding End Date, TransitionCare will email you a notice of conversion. You will have three options:

• Continue at the standard Pro rate ($600/year, billed annually) — payment information must be provided by the Founding End Date.
• Downgrade to Basic ($360/year, billed annually) — payment information must be provided by the Founding End Date.
• Cancel — your account will be deactivated on the Founding End Date. You may reactivate later at then-current standard rates.

If you take no action by the Founding End Date, your account will be downgraded to a read-only state until you provide payment information or request cancellation. We will not auto-charge a Founding Facility without explicit payment authorization.

6. Feedback & Use of Feedback

By participating in the Founding Member Program, you agree that any suggestions, ideas, feature requests, bug reports, or feedback you provide ("Feedback") may be used by TransitionCare without restriction or compensation. We may incorporate Feedback into the Platform, share anonymized observations publicly (e.g., "a founding facility reported X"), and identify your facility as a Founding Member in marketing only with your prior written consent.

7. Beta-Stage Disclaimers

The Founding Period coincides with TransitionCare's early-stage operation. You acknowledge:

• Features may change, be added, or be removed without prior notice.
• Service availability may be lower than at general availability; downtime is possible.
• The Platform's data model and underlying schema may evolve; data migrations may occur with reasonable notice.
• TransitionCare does not guarantee that the Platform will continue to operate beyond the Founding Period, although our intent is general-availability launch.

8. Termination by Founding Facility

You may terminate your participation at any time during the Founding Period by emailing us. Termination during the Founding Period results in account deactivation but no refund obligation (since no fee was charged). Audit logs and de-identified historical data are retained per the Records Retention Schedule.

9. Termination by TransitionCare

TransitionCare may revoke Founding Member status and terminate your account at any time during the Founding Period if:

• Your DSHS license lapses, is revoked, or is found to be invalid.
• You materially violate the Terms or the Acceptable Use Policy.
• You engage in conduct harmful to other users or the integrity of the Platform.

10. Confidentiality

Founding Facilities may receive early access to non-public features, roadmap details, or business plans. You agree not to disclose such information to third parties except to your employees with a need to know. This obligation continues for two (2) years after the end of the Founding Period.

11. Survival

Sections 6 (Feedback), 10 (Confidentiality), and any provisions of the underlying Terms that survive by their nature, will survive termination of the Founding Period.
